Qualified Small Business Stock (QSBS) under Internal Revenue Code §1202 can let investors exclude a significant portion of capital gains from federal tax. FutureState's equity may qualify — here's the framework.
To qualify as QSBS, stock generally must meet several requirements:
| Holding period | Exclusion | Taxable gain | Est. tax* | After-tax value | Tax saved |
|---|
Assumptions: Stock acquired in this round (after July 4, 2025) is modeled under the tiered §1202 exclusion — 50% at 3 years, 75% at 4 years, 100% at 5+ years; gains realized before 3 years receive no exclusion. Excluded gain is capped at the greater of $15M or 10× basis per issuer. "Est. federal tax" applies a combined 23.8% long-term capital-gains + net-investment-income rate to the taxable gain; state taxes, AMT, and individual circumstances are not modeled. Figures are hypothetical illustrations of a private, high-risk investment — not a projection of actual returns, and not tax or legal advice. Consult your own tax and financial advisors.
FutureState powers a suite of co-branded products that replace fragmented legacy systems with a single, modern ecosystem.

A single view for everything credentials — cardholder search, live transaction monitoring, integration health, audit history, and permission-gated remote support access.

Decouples card production and mobile-wallet provisioning from every downstream system. Multi-credential, vendor-agnostic, real-time webhook events.

Board plans, stored value, event plans, the university-branded webapp, and the Trove Gateway partner network for retail, vending & mobile order.

Any device can now be a reader for attendance, event verification, clinic check-in, and ad-hoc facility access — leveraging real-time validation against CardSync for credential authenticity.
